Is There a Minimum Age to Form or Own an LLC?
There is no minimum age set by state law to form or own an LLC.
For example, Wyoming's LLC statute requires only **"one or more persons"** to act as organizer, and the law does not specify an age requirement. The IRS also does not set an age requirement for who can be listed as the **responsible party** on an EIN application.
In practice, though, a minor may have trouble running an LLC independently for a few reasons:
- **Opening a US business bank account** usually requires the account holder to be at least 18, because banks apply their own know-your-customer (KYC) age rules in addition to state law.
- **Getting an EIN** with an individual listed as the responsible party typically requires an SSN or ITIN, which may be harder for a minor to obtain independently.
- **Signing contracts** can be an issue because contracts are generally not enforceable against a minor in most US states. That can affect operating agreements and agreements with vendors or banks.
Because of those practical limits, the common approach is to have a **parent or another adult** act as a **co-member** or as the **EIN responsible party**, while the minor is listed as a **member of the LLC**.
