What are the penalties for missing a Form 5472 compliance deadline?

Missing the Form 5472 filing deadline as a Foreign-Owned Single-Member LLC carries a steep IRS penalty, $25,000 for failing to timely file Form 5472 (filed together with a pro forma Form 1120) or for failing to maintain the required records. If you don't correct the failure, the penalty compounds: if the IRS notifies you and you still haven't filed 90 days later, an additional $25,000 penalty applies for each additional 30-day period (or part of one) that you remain out of compliance. There's effectively no cap, so the longer a missed filing goes unresolved, the more expensive it becomes. To avoid this, always file Form 5472 and Form 1120 by your deadline, or file IRS Form 7004 to request an automatic extension before the original due date if you need more time.
