LLC vs C-Corp: which is right for my business?
An LLC and a C-Corporation differ mainly in taxation and structure: an LLC offers pass-through taxation (profits flow to you personally rather than being taxed at the company level) along with more flexibility and lighter administrative upkeep, while a C-Corp pays corporate-level tax but is the structure U.S. investors require if you plan to raise venture capital or eventually go public. If you're looking for liability protection with minimal admin overhead and tax flexibility, an LLC is typically the better fit for a new business.
If you have (or plan to bring on) investors or shareholders, expect to raise venture capital, or plan to take the company public down the line, a C-Corp is generally the right structure. The right choice ultimately depends on your specific business goals, funding plans, and tax preferences, so it's worth thinking through where you expect the business to go before you decide.
