How to Reinstate a Wyoming LLC After Administrative Dissolution

If your Wyoming LLC was administratively dissolved by the state, you can usually reinstate it directly with the Wyoming Secretary of State as long as you apply within **2 years** of the dissolution date. Administrative dissolution usually happens because you: - missed an annual report, or - lost your registered agent ## How to reinstate your Wyoming LLC 1. **Make sure your LLC has an active registered agent and address** Wyoming will not reinstate your LLC without one. 2. **File the Application for Certificate of Reinstatement** Submit this to the Wyoming Secretary of State. The application must include: - your LLC’s exact name as it appears on file - the effective date of the dissolution - a signature from a member, manager, or another person authorized under your operating agreement 3. **Pay the required fees** The total depends on why your LLC was dissolved. ### If you missed annual report(s) You must pay: - each delinquent annual report - the filing fee for each delinquent annual report - a **$100 reinstatement fee** ### If your LLC had no registered agent You must pay: - a **$100 reinstatement fee** - a **$250 penalty** - a new **Registered Agent appointment form ($5)**, if you need to appoint a new registered agent 4. **Wait for processing** Wyoming typically processes reinstatement filings in about **15 business days** after receiving your application. ## If you want doola to help file If your compliance subscription with doola lapsed along with your LLC’s good standing, review your current plan before reinstating. doola can only file delinquent annual reports and the reinstatement itself if your subscription covers that service.
