Do I have to pay franchise tax in Delaware or Wyoming?

It depends on the state: Delaware has a franchise tax, while Wyoming does not. Wyoming has a different annual fee instead. - Delaware: Every corporation must file an annual report and pay franchise tax for each year it existed, even if it existed for only part of the year. - Wyoming: There is no franchise tax. Instead, LLCs pay an annual report license tax. ## Wyoming annual report license tax: The fee is whichever is greater: 1. A flat $60 minimum, or 2. 0.02% of the value of assets located in Wyoming. For most small LLCs without significant Wyoming-based assets, this usually works out to the $60 minimum.
