Sales tax for wholesalers and resale certificates
Wholesalers are generally responsible for collecting and remitting sales tax only when selling directly to end consumers, not when selling to other businesses for resale. As a wholesaler, you should:
- Keep accurate records of all your sales and purchases.
- Maintain proof of resale, such as a resale certificate, for any tax-exempt transactions.
- File sales tax returns as required by your state, even for periods when you didn't collect any tax. A resale certificate is a document a buyer gives to a seller to confirm that the goods being purchased are intended for resale rather than personal use. Presenting a valid resale certificate lets the buyer purchase those items without paying sales tax at checkout. As the seller, you keep the certificate on file as proof that the sale was properly tax-exempt if you're ever audited. doola partners with Kintsugi to help with sales tax registration and compliance, including guidance on resale certificates as part of your sales tax setup.
