Should I form my business in Wyoming or Delaware?

Which state fits best depends mostly on your growth plans. Delaware is the standard choice if you plan to eventually convert your LLC into a C-Corp to raise venture capital from U.S. investors, or if you want the added credibility a Delaware entity carries with U.S. investors and larger enterprise customers. Wyoming is the more popular choice for non-resident founders running online or e-commerce businesses. It charges no state income tax and generally costs less to maintain year to year than Delaware, between its annual filing fee and franchise tax. If you're not planning to raise venture capital or don't need Delaware's investor-facing reputation, Wyoming's lower ongoing costs and stronger privacy make it the more practical choice for most online businesses. If you do plan to raise from VCs, forming or converting to Delaware upfront will save you from having to redomesticate later.
