What documents will I receive after my company is formed?
After your company is formed, you'll receive your official state formation documents, typically your Articles of Organization or Certificate of Formation, depending on your entity type and state. If you formed an LLC, you'll also get an Operating Agreement outlining your company's internal rules. Your standard package includes an Operating Agreement (LLC) or Bylaws (C-Corp).
doola also handles obtaining your EIN and will provide your EIN confirmation once the IRS issues it (often labeled Form CP 575, or Form 147C if it's reissued). You can find all of these documents in the Documents section of your doola dashboard.
If you're looking for the stock certificate, check the last part of the bylaws document/package, as it may be included in the final pages.
Share structure and Founder Stock Purchase Agreements are separate corporate documents and are not typically included as part of the company’s bylaws or doola’s standard formation/dashboard package. Share structure may be reflected in records such as a capitalization table, stock ledger, or stock issuance records. A Founder Stock Purchase Agreement documents the founder’s purchase or issuance of shares and the related terms.
If you need a specific share structure or Founder Stock Purchase Agreement, these may need to be prepared separately based on your company’s ownership and equity arrangements, and you should consult legal counsel or an attorney for creating or structuring those documents.
